SpyShelter Terms of Service and End User Software Licensing Agreement

Please review this agreement carefully. If you disagree with anything in this agreement please cancel the SpyShelter installation and delete SpyShelter from all your devices.

This agreement outlines the terms for using the SpyShelter software and web services provided by this installer. By clicking "I Agree", you are giving your consent to abide by the terms mentioned below. Only by accepting these terms can you use the SpyShelter software and related web services. If you don't agree with any of these conditions, please note that SpyShelter, owned by Netmeetings LLC (a Texas limited liability company DBA SpyShelter), does not grant you the right to use their software or related web services.

SpyShelter has many powerful free PC security features that may be used for free for non-commercial use. Commercial users should purchase license for each device which uses the SpyShelter software within 30 days of trying the SpyShelter software, or uninstall the SpyShelter software.

By using the SpyShelter software, services, or website, you agree to the following terms and conditions:

Warranty

This software is provided 'as-is', without any express or implied warranty. In no event will the authors be held liable for any damages arising from the use of this software. SpyShelter does not guarantee that the software will be free from bugs, errors, or other program limitations.

License Grant

We give you a non-exclusive, non-transferable right to use the Software, defined by your license type and its activation count. Paid licenses are governed by the terms of your chosen plan, afterward reverting to a complimentary license if not renewed for payment. The SpyShelter software also often has a free trial period with access to paid features until it reverts to the free version without paid features.

Ownership

SpyShelter retains all proprietary rights to the software. Any rights not explicitly granted to you remain with SpyShelter. SpyShelter retains exclusive ownership of all worldwide copyrights, trademarks, service marks, trade secrets, patent rights, moral rights, property rights and all other industrial rights in the Software and documentation, including any derivative works, modification, updates, or enhancements. All rights in and to the Software not expressly granted to User in this Agreement are reserved by Licensor. Nothing in this Agreement shall be deemed to grant, by implication, estoppel or otherwise, a license under any of Licensor's existing or future patents.

You agree to follow all proprietary laws that apply to your use of the SpyShelter software. The SpyShelter license gives you no rights, titles or any interests in any intellectual property owned by the licensor, and this license creates no relationship between the licensor and you other than that of licensor and licensee. Rights which are not granted to you through this license are automatically reserved by the licensor. You are not allowed to use SpyShelter without the licensor's prior approval.

SpyShelter may use certain software developed by third parties. This software allows SpyShelter to do certain functions. All rights held by this third party software are reserved by the owner of the third party software and the owner of the third party software may enforce their rights against you directly in their own name.

Age Requirement

To enter into this Agreement or use SpyShelter Software or the SpyShelter website or any other SpyShelter services, you must be at least 18 years old.

SpyShelter Stasis Technology and Executable Behavior

SpyShelter can sometimes stop and hold executables in stasis to check executables for threats, or so you yourself can allow or deny the executable to launch. If certain executables must launch on boot for your PC to operate (or must launch for any other reason), please consider disabling this Application Control feature under the SpyShelter Protection screen. Otherwise, SpyShelter could cause some issues with your computer booting. Also, SpyShelter does its best to auto-allow all critical Microsoft published applications to launch, but Microsoft can update their publishing certificates at unexpected times and this could cause SpyShelter to cause technical issues for some devices with Microsoft software. If you are having booting issues please start your computer in Windows "Safe Mode" then turn off SpyShelter Application Control as shown under its Protection screen, that can be found from the bottom of the SpyShelter software navigation area. Please check our help web pages for help completely removing SpyShelter.

SpyShelter also has a setting called "When I'm Unavailable" in its settings. By default we make SpyShelter automatically make decisions on executables during boot that should not cause boot issues. If you change this setting to "Wait for me" we give the following warning: "DANGER: Denying processes during boot can cause serious startup failures". If your computer is used in mission critical situations please consider always using our "Allow all prompts" setting for this feature. Go to the top right cog icon in SpyShelter and choose "settings" to access this setting.

Not an Antivirus or Firewall

SpyShelter is not an antivirus, network monitor, or firewall. We recommend that the SpyShelter software should be used in conjunction with an antivirus, firewall, and network security monitoring software since SpyShelter has no such capabilities.

Updates and Maintenance

SpyShelter reserves the right to release updates or modifications to the Software. You may be required to update the Software for continued use, and SpyShelter does not guarantee that updates will retain current Software features.

Reverse Engineering

You may not reverse engineer, decompile, or disassemble the Software, without written permission from the SpyShelter team.

Technical Support

While SpyShelter does not provide direct in-person or phone technical support for this Software, users can seek assistance through the SpyShelter forum or SpyShelter email helpdesk, where the community and staff will do their best to help paying customers.

Backup

You are responsible for regularly backing up your data. SpyShelter is not responsible for any loss of data that may occur due to Software use or malfunction.

Third-Party Links or Integration

SpyShelter may provide, or third parties may provide, links to other websites or resources. You acknowledge and agree that SpyShelter is not responsible for the availability of such external sites or resources.

Assignment

You may not assign your rights or obligations under this Agreement to another party without the express written consent of SpyShelter.

Force Majeure

SpyShelter shall not be liable for any delay or failure in performance due to events outside the defaulting party's reasonable control, including Software or internet outages, war, fire, terrorism, natural disasters, plagues, or labor disputes.

Entire Agreement

This EULA represents the complete agreement between you and SpyShelter concerning its subject matter and supersedes all prior agreements and representations between the parties.

Changes to the EULA

SpyShelter may update this EULA from time to time, along with its privacy policy. The updated versions will be posted on the SpyShelter.com website with a notice and a date of the update on the policy pages.

System Requirements

The Software is designed to function on Microsoft Windows 10 and newer. While it might work on earlier versions, SpyShelter does not guarantee compatibility or support for old versions of Microsoft Windows.

Authentication

If the Software or Website (forum) requires user authentication, you are responsible for all activities that occur under your account. You are responsible for safeguarding your password (or software activation code) and should never disclose it to any third party. SpyShelter reserves the right to terminate accounts for any misuse or if any breach of security is suspected.

License Duration

This Agreement remains valid until one party ends it. To terminate from your side, stop using the Software. SpyShelter can conclude the Agreement, especially if you breach terms or when updates are required.

Intellectual Property

Do not duplicate, modify, or misuse the Software. Unauthorized access, false ownership claims, or illegal use are strictly prohibited.

Export Controls

Do not send the software to, or use the Software in countries sanctioned by the United States of America or European Union, or United Kingdom. SpyShelter is not allowed in embargoed countries as listed by the US or UK government. Abide by all international trade regulations. Foreign use in some jurisdictions might necessitate special permissions, but usage in embargoed countries is never allowed.

License Transfer

You're prohibited from transferring or selling your Software license.

Content Accountability

Ensure the legality of the content you share. Unauthorized copyrighted material distribution is forbidden.

Respectful Conduct

Do not use SpyShelter or SpyShelter services (forum) to harm, abuse, impersonate, harass, stalk, or infringe upon others' rights. Do not pretend to be a SpyShelter representative or partner.

Relationship and Ownership of Parties

All of SpyShelter's intellectual property, including but not limited to trademarks, copyrights, and patents, remains its exclusive property. Third-party Software within SpyShelter retains its rights. SpyShelter also has the right to injunctive relief in addition to any other remedies available, especially if intellectual property ownership is violated.

Payments and Fees

SpyShelter can charge for its Software and services. You are responsible for your own infrastructure costs. Any deceptive practices by the user breaches this Agreement. License purchases are mandatory for commercial use.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SpyShelter, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or other intangible losses, that result from the use of, or inability to use, this Software. Under no circumstances will SpyShelter be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the Software or the information contained therein.To the maximum extent permitted by applicable law, SpyShelter assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of the Software; (iii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iv) any interruption or cessation of transmission to or from the Software; (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Software by any third party; and/or (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Software. In no event shall SpyShelter, its affiliates, agents, directors, employees, suppliers, or licensors be liable to you for any claims, proceedings, liabilities, obligations, damages, losses or costs in an amount exceeding the amount you paid to SpyShelter for the Software herein. This section shall survive the termination or expiration of this Agreement.

Disclaimer

SpyShelter provides the Software and services "as is," disclaiming all warranties, whether express or implied.

Governing Law

This Agreement is governed by Texas law, specifically Travis County. You consent to legal jurisdiction only in Travis County, Texas, USA.

Indemnification

You agree to defend and cover SpyShelter against claims arising from Software misuse, including related costs.

No Waiver

SpyShelter's non-action regarding Agreement rights doesn't imply their forfeiture.

Severability

If any clause is deemed unenforceable, the remainder of the Agreement stays in effect.

Termination

Agreement breaches can result in immediate termination by SpyShelter.

Legal Compliance

Any breach of laws could lead to immediate Software and Agreement suspension by SpyShelter.

Sales Refund Policy

You may receive a refund within 30 days of purchasing our Software by contacting our billing company Paddle and requesting the refund. If Paddle does not assist you in a timely manner, please contact our helpdesk so we can assist you personally. SpyShelter does not have the ability to send out payments. The way to receive a refund is through our third party billing company called Paddle, that will add the credit back to the payment method that was used.

By using SpyShelter, you consent to these terms.
